Terms of sale for online orders
These terms apply to every order placed in our online shop. Orders by quotation, email or phone follow our standard terms and conditions.
Revision 1.0 – November 2026
These terms apply to every order placed through our online shop at gandgcontrols.co.uk/shop. A clause marked (consumers) applies only to consumers; one marked (business) applies only to business customers.
1. Who we are
Uptime Systems Ltd, trading as G&G Controls, registered in England and Wales, company number 10331420, VAT number GB251233933. Registered office: 3b Michigan Drive, Tongwell, Milton Keynes MK15 8HQ. Trading address: Unit 32 Whieldon Industrial Estate, Whieldon Road, Stoke-on-Trent ST4 4JP. Contact us at sales@gandgcontrols.co.uk or on 01782 280577.
2. These terms
- These terms apply to orders placed in the online shop. Orders placed by quotation, email or phone follow our standard terms of sale.
- A consumer is an individual buying wholly or mainly outside their trade, business, craft or profession. Every other buyer is a business customer.
- (business) These terms apply instead of any other terms, including those on your purchase order.
- Nothing in these terms affects a consumer's legal rights.
3. Your account
- You need an account to order. Keep your password safe: you are responsible for orders placed through your account.
- If you tell us you are an existing customer, we may link your account to your company's account once we have checked. A linked account sees that company's orders and its prices.
4. Products and pictures
- Pictures are for illustration. A panel picture marked "typical" shows the range; the panel built to your code may differ in layout and detail.
- Specifications come from the manufacturer or from our product code. Small differences in appearance or packaging do not affect how a product performs.
- Panels are built to the product code ordered. If you are not sure which code suits your installation, ask us before ordering.
5. Placing an order and when the contract is made
- Your order is an offer to buy. We accept it, and the contract is made, when we email you the order confirmation.
- We may decline an order, for example if a product is no longer available, a price is clearly wrong or the address is outside the area we deliver to. If we decline after taking payment, we refund it in full.
- "In stock" means available to dispatch when the page was shown. If we cannot supply part of an order from stock, we tell you when it will follow; you may cancel that part for a refund.
6. Prices and VAT
- Prices are in pounds sterling, shown with and without VAT at the current rate. The amount you pay includes VAT.
- Delivery charges are shown in your basket before you pay.
- If a price is clearly an error, we tell you; you may then confirm the order at the right price or cancel it for a full refund.
- A signed-in trade customer may see a discounted "Your price" on panels. It applies to that order.
7. Paying
- By card: our payment provider, Stripe, takes payment when you place the order. We never see or store your card details.
- On account (business): an approved business customer with a credit account may pay on account within its credit limit. Invoices are due under that account's payment terms: unless we have agreed otherwise in writing, by the last working day of the month after the month the invoice is dated.
- (business) We may charge interest on late payment under the Late Payment of Commercial Debts (Interest) Act 1998. We may hold an order while an account is overdue or over its limit.
8. Delivery and collection
- We deliver to addresses in mainland Great Britain. We cannot deliver online orders to Northern Ireland, the Isle of Man, the Isles of Scilly, the Channel Islands or the Scottish island and Highland postcodes listed at checkout; please call us instead.
- Items in stock ordered by 2pm on a working day are dispatched the next working day. Panels built to order are normally dispatched within 2–3 weeks. Items we order in are dispatched when they arrive, and we tell you the date. Delivery dates are estimates.
- Each order pays one delivery charge, the largest that applies: small parcel £11.50; large parcel £70 (enclosures, kiosks and two or more panels); HIAB lorry £765 for items that need one. All plus VAT.
- Collection from our premises in Stoke-on-Trent is free. We email you when your order is ready.
- Someone must be available to receive the delivery. Pallets are delivered to the kerbside; a HIAB delivery needs safe access for the lorry.
- Please check goods on arrival and note any damage on the courier's paperwork. (business) Tell us of any damage or shortage within 2 working days of delivery.
- The goods are at your risk once delivered or collected. They become yours once we have been paid in full; (business) until then you hold them for us and keep them separate and identifiable.
9. Cancelling your order (consumers)
- You may cancel within 14 days of the day after you receive the goods, without giving a reason. Tell us by email or with our cancellation form.
- Return the goods within 14 days of telling us, unused and in their packaging. You pay for the return unless the goods are faulty or not what you ordered. If you would like us to collect them, we charge the normal delivery charge for their size (clause 8.3).
- We refund the price and the standard delivery charge within 14 days of receiving the goods back, or proof you have sent them.
- We may reduce a refund for any loss in value from handling beyond what is needed to check the goods, for example if they have been installed or wired.
- The right to cancel does not apply to goods made to your own specification or clearly personalised.
- You may cancel a panel at no charge until we start building it.
10. Returning unwanted goods (business)
Unused stock components in their original packaging may be returned within 30 days, at our discretion, less a restocking charge of 20% and the normal delivery charge for their return. Panels, items we ordered in for you, cable cut to length and consumables cannot be returned unless faulty.
11. Faulty goods
- (consumers) Your rights under the Consumer Rights Act 2015 apply: goods must be as described, fit for purpose and of satisfactory quality. Within 30 days you may reject faulty goods for a refund; after that we repair or replace them, and if that fails you may have a price reduction or refund.
- (business) We warrant that goods are free from defects in materials and workmanship for 12 months from delivery. We will repair, replace or refund them, at our choice. Components carry their manufacturer's warranty, which we pass on.
- Our warranty does not cover damage from incorrect installation, misuse, changes or wiring by others, or use outside the rated conditions.
- Panels must be installed and connected by a competent person, to BS 7671 and the drawings supplied with them.
12. Our responsibility to you
- Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit.
- (consumers) We are responsible for loss you suffer that is a foreseeable result of our breaking these terms or our negligence. We are not responsible for business losses.
- (business) We are not liable for loss of profit, revenue, business or data, or for any indirect or consequential loss. Our total liability for an order is limited to the price paid for that order.
13. Events outside our control
We are not responsible for delay or failure caused by events outside our reasonable control. We will tell you, and you may cancel if the delay is long.
14. Your information
We use your personal information as our privacy policy describes.
15. Changes, disputes and law
- We may update these terms; the version shown when you order applies to that order.
- Please contact us first if something goes wrong; most problems are put right quickly.
- These terms are governed by the law of England and Wales, and its courts decide disputes. A consumer living in Scotland or Northern Ireland may also bring proceedings there.
